Further, no representations or warranties, express or implied, are given regarding the legal or other consequences resulting from the use of our services or forms.

If an order is cancelled after payment has been taken by IMRECOM, LLC but before a preliminary name check has been completed, IMRECOM, LLC will refund the total order amount less a $25 processing fee. If the order is cancelled after the preliminary name check has been completed but before the formation documents have been created, IMRECOM, LLC will refund the total order amount less a $50 processing fee. If the order is cancelled after the formation documents are created, IMRECOM, LLC will refund the total amount of the order less a $75 processing fee provided that the formation document is not already filed with the state. Money paid to IMRECOM, LLC that has already been paid to the state filing fees or to suppliers is not refundable.
A $25 fee will be added to all checks returned to IMRECOM, LLC due to non-sufficient funds or closed accounts. In addition, a bank service fee will be charged on these checks.
IMRECOM, LLC, its agents, representatives and employees specifically disclaim any warranty beyond the limited warranty stated above, whether express or implied, including the implied warranties of merchantability and fitness for purpose. Under no circumstances will IMRECOM, LLC, its advisors, agents, representatives and employees be liable or responsible for any damage or inconvenience caused or alleged to be caused by the use of our services.
Lifetime Warranty
IMRECOM, LLC is confident in its ability to deliver a service that exceeds customer expectations. Our filing services are both accurate and timely, and we pride ourselves on providing the highest level of service in the industry. Each order received by IMRECOM, LLC is reviewed to identify potential errors. In the unlikely event that a filing error is made, IMRECOM, LLC responds promptly to remedy the error. IMRECOM, LLC warranties its services against filing defects caused by IMRECOM, LLC for the life of your corporation or LLC. If it is determined that IMRECOM, LLC was responsible for the error, IMRECOM, LLC will absorb any additional fees and costs necessary to correct the error or mistake as quickly as possible.
Claim of Warranty Procedure
IMRECOM, LLC makes it as easy as possible to initiate a warranty claim. Contact the customer service team at 888.735.5700 to identify an error and provide IMRECOM, LLC with authorization to correct the error on behalf of your company.
EXCEPT FOR THE SPECIFIC WARRANTIES SET FORTH ABOVE, IMRECOM, LLC EXPRESSLY DISCLAIMS AND EXCLUDES ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL IMRECOM, LLC BE LIABLE OR RESPONSIBLE FOR ANY DAMAGE OR INCONVENIENCE CAUSED BY FILING ERRORS THAT RESULT FROM CLIENT-PROVIDED INFORMATION. IMRECOM, LLCS' AGGREGATE LIABILITY TO YOU AND/OR ANY ENTITY FORMED BY YOU FOR FILING DEFECTS CAUSED BY IMRECOM, LLC SHALL BE LIMITED TO THE REMEDIES SET FORTH ABOVE. IN NO EVENT WILL IMRECOM, LLCS' DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS OR ADVISORS BE LIABLE OR RESPONSIBLE FOR ANY DAMAGES OR INCONVENIENCE RELATING TO DEFECTIVE FILINGS, AND IN NO EVENT WILL OUR LIABILITY OF ANY KIND INCLUDE ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE KNOWLEDGE OF THE POTENTIAL LOSS OR DAMAGE.
